Terms of Service
Please read these terms carefully before using Syncally.
1. Acceptance of Terms
By accessing or using Syncally ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, please do not use the Service. These Terms constitute a binding legal agreement between you and Syncally.
- You are at least 18 years old and capable of forming a binding contract.
- If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
- You will comply with all applicable local, state, national, and international laws.
2. Description of Service
Syncally is an AI-powered knowledge base and productivity platform for engineering teams. Features include:
- Codebase analysis, indexing, and Q&A via GitHub integration.
- Meeting transcription, summarization, and intelligence.
- Task management, project tracking, and knowledge graph visualization.
- Enterprise administration and security features.
We may modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. Account & Security
3.1 Authentication
You must register and authenticate via GitHub OAuth or other supported identity providers. You agree to provide accurate and complete information during registration.
3.2 Account Security
You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access at [email protected].
4. Permitted Use
You agree to use the Service only for lawful purposes. You shall not:
- Reverse engineer, decompile, or disassemble any aspect of the Service.
- Use the Service to process sensitive health (HIPAA) or financial (PCI-DSS) data without a specific written agreement.
- Share account credentials or API keys with unauthorized third parties.
- Use the Service to violate the intellectual property rights of others.
- Attempt to bypass any security measures or rate limits of the Service.
5. Intellectual Property Rights
- Your Content: You retain all ownership rights to your code, meeting recordings, and other content you submit to the Service. You grant Syncally a limited, non-exclusive license to process this content solely to provide the Service to you.
- Syncally IP: Syncally owns all rights, title, and interest in and to the Service, including its software, design, trademarks, and AI methodologies. Nothing in these Terms grants you any right to use Syncally's trademarks or logos.
- Feedback: If you provide feedback or suggestions, Syncally may use them without any obligation to compensate you.
6. Enterprise Services & SSO
For customers on Enterprise plans:
- Single Sign-On (SSO): You are responsible for configuring and maintaining your Identity Provider (IdP) connection.
- SLA: Service Level Agreements (SLA) regarding uptime and support response times are governed by a separate Enterprise Master Services Agreement (MSA), if applicable. In the absence of an MSA, the standard terms apply.
- Audit Logs: Audit logs are retained for the period specified in your plan.
7. API Usage
- Access to the Syncally API is subject to rate limits and usage quotas.
- You must use a valid API key for all requests.
- We reserve the right to revoke API keys that are abusive, compromised, or used in violation of these Terms.
8. Data Ownership & AI
- No Training on Customer Data: We do NOT use your proprietary code, meeting transcripts, or other confidential data to train our general foundation models.
- Third-Party Models: We utilize enterprise-grade APIs from OpenAI and Google Gemini that are contractually prohibited from using your data for model training.
9. Payment & Refunds
- Billing: Payments are processed via our merchant of record, Polar.sh.
- Subscriptions: Fees are billed in advance on a monthly or annual basis.
- Refunds: We offer a 30-day money-back guarantee for new subscriptions.
- Taxes: You are responsible for all applicable taxes.
10. Indemnification
You agree to indemnify, defend, and hold harmless Syncally, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party right.
11. Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCALLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SYNCALLY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Governing Law & Dispute Resolution
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
- Dispute Resolution: Any dispute arising from these Terms shall be resolved through binding arbitration in Delaware, except for claims for injunctive relief regarding intellectual property rights.
- Class Action Waiver: You agree to resolve disputes only on an individual basis and strictly waive any right to participate in a class action lawsuit.
13. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Syncally regarding the Service.
- Modifications: We may update these Terms from time to time. If a revision is material, we will notify you via email or a prominent notice on the Service.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force.
- Force Majeure: Syncally shall not be liable for any failure to perform its obligations where such failure results from any cause beyond Syncally's reasonable control.
